The Services

Kos provides a virtual finance employee that performs finance workflows in the software a customer authorizes, together with related websites, support, and documentation (the “Services”). We may improve and change the Services over time.

Accounts and access

You are responsible for the systems, credentials, and permissions you grant Kos, for the accuracy of the instructions you give it, and for all activity under your account. You must keep credentials confidential and tell us promptly about any unauthorized use.

Customer Data

You retain all right, title, and interest in your Customer Data. You grant Kos a limited license to host, process, and use Customer Data to provide and support the Services, and to analyze and improve them on an internal basis. You represent that you have the rights and consents needed to provide Customer Data to Kos. Our handling of personal information is described in our Privacy Policy.

Acceptable use

You will not:

• use the Services in violation of law or the rights of others;
• attempt to gain unauthorized access to the Services or to any system or data;
• interfere with or disrupt the integrity or performance of the Services;
• reverse engineer, copy, or resell the Services, except as the law expressly permits; or
• use the Services to build a competing product.

Your review of the work

Kos works within the permissions and instructions you provide. You remain responsible for your financial decisions, filings, and payments, and for reviewing the work Kos performs as your policies require.

Fees

Fees, payment terms, and the scope of the Services are set out in your order form or other written agreement with Kos. Unless stated otherwise, fees are due within 30 days of invoice and exclude taxes.

Confidentiality

Each party will protect the other's confidential information with at least reasonable care, use it only to perform under these Terms, and disclose it only to people who need to know it and are bound by similar obligations.

Intellectual property

Kos and its licensors own the Services, including all software, models, and documentation, and all improvements to them. Except for the rights expressly granted in these Terms, no rights are transferred. If you send us feedback, we may use it without obligation to you.

Disclaimers

Except as expressly stated in a written agreement with Kos, the Services are provided “as is” and “as available”, and Kos disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Each party's total liability arising out of these Terms will not exceed the amounts paid or payable by you to Kos in the twelve months before the event giving rise to the claim.

Indemnification

You will defend and indemnify Kos against third-party claims arising from your Customer Data or your use of the Services in violation of these Terms.

Term and termination

These Terms apply for as long as you use the Services. Either party may terminate for a material breach that is not cured within 30 days of written notice. On termination, your right to use the Services ends, and each party returns or destroys the other's confidential information as the parties' agreement provides.

Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules. The state and federal courts in San Francisco, California have exclusive jurisdiction over any dispute arising from them.

Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page and change the date above. Continued use of the Services after an update means you accept the updated Terms.
